The Office of the Registrar of Companies (ORC) has started the process of removing 318 companies from Ghana’s Companies Register. This action aims to improve corporate compliance and maintain accurate business records.
The ORC launched the exercise under Section 289(3) of the Companies Act, 2019 (Act 992). The names of the affected companies appeared in Volume 40 of the ORC Companies Bulletin on May 15, 2026. These companies now have three months to provide reasons why they should remain on the register.
This initiative forms part of ongoing measures to strengthen regulatory enforcement in Ghana. It seeks to ensure the Companies Register remains accurate, credible, and reliable. Accurate corporate records are crucial for investor confidence and overall economic transparency. The ORC's consistent efforts to clean up the register indicate a commitment to a more regulated business environment.
The Registrar of Companies stated this action signals to companies that ignore their statutory filing responsibilities. The ORC reaffirmed its commitment to enforcing corporate regulations. This promotes better governance, accountability, and transparency within the business sector.
If companies fail to respond within the three-month period, the ORC will officially strike them off. This dissolution will remove them from the official list of registered businesses. This process ensures that only active and compliant companies are officially recognised, improving the ease of doing business in Ghana. The market and business community will closely watch the outcome of this exercise.
This move is particularly important for Ghana’s economic development and investment climate. A clean and accurate register helps potential investors identify legitimate businesses. It also reduces risks associated with fraudulent companies. The ORC’s enforcement actions support the government’s broader agenda for economic stability and growth. This action also complements other regulatory efforts, creating a more robust commercial framework.
The Companies Act, 2019 (Act 992) provides the legal framework for these dissolutions. This law aims to modernise company registration and regulation in Ghana. The ORC’s strict adherence to this Act shows its dedication to upholding legal standards. This contributes to a stronger, more reliable corporate landscape in Ghana.
